Alchemy Fund Acknowledgements & Representations

A. Investor Knowledge and Advice

I confirm that I am 18 years of age or older and that I personally possess sufficient knowledge, experience, and expertise in financial and business matters, including experience with investments similar to those made by the Fund, to be capable of evaluating the merits and risks of investing in the Fund.

I acknowledge that Calculus Capital Limited (“Calculus”) is not providing investment advice in connection with this investment. I confirm that I have taken, or will take, any independent professional advice (including from a financial adviser) that I consider necessary or appropriate.

I further acknowledge that Calculus will rely entirely on my Adviser & AML Certificate, which confirms that an investment in the Alchemy fund is suitable for me in light of my personal financial circumstances and my risk appetite.

B. Information Memorandum and Investor Agreement

I confirm that I have read and understood the current Information Memorandum (particularly the section titled Key Risks) and the Investor Agreement.

C. Basis of Application

I confirm that, in making this application, I am relying only on the following:

  • the Information Memorandum,
  • the Investor Agreement,
  • the Application Pack for Investors,
  • the Adviser & AML Certificate, and
  • my own enquiries.

I am not relying on any other information or representation made in relation to the Alchemy fund.

D. Agreement to Terms

I agree that, if my application is accepted, I will observe, perform, and be bound by the provisions of the Investor Agreement and this Application Form.

An investment into the Calculus EIS Fund, Calculus KI EIS Fund, Calculus VCT or Calculus ITS may only be made on the basis of reading in full the information set out in the relevant Information Memorandum or prospectus.

When investing, your capital is at risk. The value of shares and income from them may go down as well as up and despite the tax relief you may not recover the amount originally invested. An investment in smaller and unquoted companies carries a higher risk than many other forms of investment. Shares in unquoted companies are not readily marketable. You should not invest in an EIS, VCT or Inheritance Tax (Business Relief) Solution unless you can afford to lose some or all of your capital.

An EIS, VCT or Inheritance Tax (Business Relief) Solution investment is only appropriate for investors with a medium to long term investment horizon; the timing and extent of realisation cannot be predicted and may extend beyond five years. It is not possible to allow a partial withdrawal of your investment. You may request a total withdrawal, but since many investments made will be in unquoted companies, this may not be possible. Withdrawal within two years for the Inheritance Tax (Business Relief) Solution, three years for the EIS and five years for the VCT would lead to repayment of any tax reliefs received.

The tax benefits available depend upon your individual circumstances and these benefits may change dependent upon future legislation.
